These Terms of Use (these "Terms") are a legally binding agreement between you and FocusRunner AI ("we," "us," or "our") and apply to your use of the FocusRunner website at focusrunner.io and any related services (collectively, the "Services"). PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU ARE AGREEING TO BE BOUND BY THESE TERMS.
FocusRunner provides AI-powered patient acquisition and lead qualification systems. Our AI tools are designed to assist with marketing automation for med spa owners and acquirers. You are responsible for ensuring that your use of our Services complies with all applicable laws, including healthcare marketing regulations, data protection laws, and telecommunications rules.
Subject to your compliance with these Terms, FocusRunner grants you a limited, non-exclusive, revocable right to use the Services strictly for your internal business purposes. You may not resell, transfer, assign, or sublicense your rights to any third party. The Services may rely on products provided by third parties (such as large language models and API providers). FocusRunner does not guarantee the continuous availability of such third-party services.
You agree not to use the Services to:
You retain ownership of the data you provide to us ("Customer Data"). FocusRunner retains all right, title, and interest in the Services, underlying technology, algorithms, and resulting Usage Data. You grant us a license to use your Customer Data to provide and improve the Services.
Fees for the Services are as set forth on our website or in a separate agreement between you and FocusRunner. Unless otherwise stated, fees are due in advance and are non-refundable, except as explicitly stated in our guarantee (15+ qualified leads in 30 days or your first month is free). We reserve the right to change our fees upon notice.
FocusRunner guarantees a minimum of 15 qualified patient acquisition leads within the first 30 days of service deployment. If we fail to deliver this minimum, your first month's service fee will be refunded in full. This guarantee applies only when you have provided accurate business information and reasonable access to deploy the agreed-upon marketing channels.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCUSRUNNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
Either party may terminate the agreement upon 30 days' written notice. FocusRunner may immediately suspend or terminate your access if you breach these Terms. Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days after termination, after which it will be deleted.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute shall be resolved in the courts of Miami-Dade County, Florida.
